My Legal AI End User License Agreement

This End User License Agreement ("Agreement") is a legal contract between you ("User" or "You") and My Legal AI, Inc. ("Company," "We," or "Us"), a Florida corporation, governing your use of the My Legal AI Platform ("Platform"), an artificial intelligence-powered service connecting legal professionals and consumers. By accessing or using the Platform, you agree to be bound by this Agreement, including the dispute resolution and arbitration provisions in Section 11. If you do not agree, do not use the Platform.

1. Definitions

• Platform refers to the My Legal AI software, services, and associated content, including any updates or modifications.
• User includes both legal professionals and consumers accessing the Platform.
• Content means any data, text, or materials uploaded, shared, or generated through the Platform.
• Subscription refers to a paid plan granting access to premium Platform features.
• Sensitive Data includes personal identifiable information, financial details, health records, sensitive case information, or other data subject to privacy laws.
• Personal Data means any information relating to an identified or identifiable individual, as defined by applicable data protection laws.

2. License Grant

Subject to this Agreement, Company grants You a non-exclusive, non-transferable, revocable license to access and use the Platform for personal or professional purposes, as applicable. This license does not permit You to:

• Modify, reverse-engineer, or decompile the Platform;
• Distribute or sublicense the Platform to third parties;
• Use the Platform for illegal purposes or in violation of applicable laws;
• Copy, reproduce, or create derivative works of the Platform, its software, content, or materials, except as expressly permitted by this Agreement.

No Copy Disclaimer: All elements of the Platform, including but not limited to its software, user interface, documentation, and associated materials, are protected by copyright and other intellectual property laws. You are strictly prohibited from copying, reproducing, distributing, or creating derivative works of any part of the Platform without prior written consent from Company. Unauthorized copying or reproduction may result in legal action and termination of your access to the Platform.

3. No Legal Support Disclaimer

My Legal AI (including our affiliates, subsidiaries, parents, successors, assigns, officers, directors, employees, agents, and shareholders) does not provide legal support or legal services. My Legal AI is not a law firm and does not employ or supervise attorneys. The Platform serves as a technological communication layer connecting Users with independent attorneys ("Attorneys"). Use of the Platform does not create an attorney-client relationship between You and My Legal AI. Any communication sent to My Legal AI will not create an attorney-client relationship. When connected with an Attorney, You may accept or reject engagement at Your discretion. My Legal AI does not endorse or promote any Attorney and makes no representations or warranties about an Attorney's qualifications (beyond being licensed) or the quality of their services. My Legal AI is not liable for any actions, errors, or omissions by Attorneys to whom you are connected via the Platform, including but not limited to negligence, malpractice, or failure to provide adequate legal services.

4. User Obligations

• Provide accurate information when registering or using the Platform;
• Maintain the confidentiality of your account credentials;
• Comply with all applicable laws, including those governing legal practice, consumer protection, and data privacy;
• Use the Platform solely for its intended purpose of facilitating legal professional-consumer interactions;
• Avoid uploading Sensitive Data unless encrypted or anonymized, as outlined in our Privacy Policy.

You are responsible for any Content you upload or share, ensuring it does not infringe third-party rights or violate laws.

5. Subscription and Payment

• Certain Platform features require a Subscription. Pricing and terms are available at www.mylegalai.com.
• Subscriptions are billed in advance and are non-refundable, except as required by law.
• Company may modify Subscription fees with 30 days' notice. Continued use after such changes constitutes acceptance.

6. Data Retention, Deletion, and Sensitive Data

• Active Subscriptions: User Content and account data will be stored for the duration of an active Subscription, subject to storage limits outlined in your plan.
• Non-Subscribed Users: If You use the Platform without a Subscription, your Content and account data will be retained for a period of 90 days from the date of last activity, after which it may be deleted at Company's discretion, subject to applicable state laws.
• Cancelled Subscriptions: Upon cancellation of a Subscription, your Content and account data will be retained for 90 days, allowing You to reactivate your account or export data. After this period, Company may permanently delete all associated data, except as required by law (e.g., California's 45-day deletion requirement).
• Disclaimer on Data Retention: Company is not responsible for any loss of data following the retention periods outlined above. It is Your responsibility to back up or export Content prior to account inactivity or Subscription cancellation. Certain data may be retained for trust, safety, or fraud prevention purposes, as permitted by law.
• Disclaimer on Sensitive and Personal Data: You acknowledge that uploading Sensitive Data or Personal Data to the Platform carries inherent risks, including potential unauthorized access or data breaches. Company implements reasonable security measures, including encryption where feasible, to protect such data but cannot guarantee absolute security. You are solely responsible for evaluating the appropriateness of uploading Sensitive Data or Personal Data and for complying with applicable data protection laws, including but not limited to the Florida Information Protection Act, California Consumer Privacy Act, and other state privacy regulations. Company strongly recommends that You avoid uploading Sensitive Data unless strictly necessary and that You anonymize or encrypt such data where possible.

7. Intellectual Property

• The Platform, including its software, design, and algorithms, is owned by Company and protected by copyright, trademark, and other laws.
• User Content remains Your property. By uploading Content, You grant Company a nationwide, non-exclusive, royalty-free license to use, store, and process such Content solely to provide and improve the Platform.
• Feedback or suggestions provided by You may be used by Company without compensation or attribution.

8. Confidentiality

• Legal professionals using the Platform must comply with applicable attorney-client privilege and confidentiality obligations.
• Company implements reasonable security measures to protect User data but is not liable for unauthorized access beyond its control.

9. Limitation of Liability

To the fullest extent permitted by law, My Legal AI, its affiliates, officers, directors, employees, agents, and shareholders shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising out of or related to your use of the Platform, whether based on contract, tort, or other legal theory, except where prohibited by state law (e.g., California, New York). My Legal AI's total liability shall not exceed the amount paid by You for the Subscription in the preceding 12 months. The Platform is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose, except where such disclaimers are prohibited by law.

10. Indemnification

You agree to indemnify and hold harmless My Legal AI, its affiliates, and their respective officers, directors, employees, and agents from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from Your intentional misuse of the Platform, violation of this Agreement, or infringement of any third-party rights, except where such claims arise from My Legal AI's negligence or failure to secure data.

• You may terminate this Agreement by closing Your account or cancelling Your Subscription.
• Company may suspend or terminate Your access for violation of this Agreement, non-payment, illegal activity, or unauthorized copying, with or without notice.
• Upon termination, Sections 6, 7, 9, 10, and 11 survive.

13. AI and Privacy Disclosures

My Legal AI uses AI to provide AI-powered insights. We are committed to transparency and compliance with nationwide and state-specific laws. Below are our disclosures:

• Nationwide AI Disclosure: You will be notified at the start of any AI interaction (e.g., via pop-up or chatbot message) that you are engaging with an AI system. AI outputs are informational and must be verified by a licensed attorney.
• Data Privacy: We process Personal Data and Sensitive Data in accordance with our Privacy Policy, using reasonable security measures like encryption. You may access, correct, delete, or opt out of data sharing or profiling by contacting support@mylegalai.com or visiting our "Your Privacy Rights" page. Certain data may be retained for trust, safety, or fraud prevention, as permitted by law.
• State-Specific Disclosures: California (SB 942, CCPA); Colorado (Colorado AI Act); Utah (Artificial Intelligence Policy Act); Minnesota, Maryland, Texas; and other states (e.g., Virginia, Delaware) – we comply by providing clear notices, opt-out rights, and conducting risk assessments where applicable.

14. Miscellaneous

• This Agreement constitutes the entire understanding between You and Company regarding the use of the Platform's software, superseding prior agreements. General use of the Platform, including subscription terms and user conduct, is governed by our Terms and Conditions, available at www.mylegalai.com/terms.
• Company may modify this Agreement with notice via the Platform or email. Continued use after changes constitutes acceptance.
• If any provision is unenforceable, the remaining provisions remain in effect, subject to state-specific consumer protections.
• You may not assign this Agreement without Company's consent. Company may assign it freely.
• Third-Party Websites: The Platform may contain links to third-party websites, products, or services with different privacy policies. We are not responsible for their practices, and you should review their policies before engaging.
